Terms of Service

1. Acceptance

These Terms of Service ("Terms") govern access to and use of the products and services provided by Ask Quickly, Inc. ("Quickly", "we", "our", or "us"), including askquickly.ai, app.askquickly.ai, Slack and Microsoft Teams apps, SMS and voice features, APIs, browser automation, connected integrations, and AI workflows (the "Service"). By accessing or using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization.

2. The Service

Quickly is an AI operations assistant that helps teams interpret requests, retrieve business context, operate connected software, and execute workflows across supported channels such as Slack, Microsoft Teams, SMS, voice, web chat, and APIs. The Service may read from, write to, or take actions in third-party systems only when authorized by your organization, your users, or a connected integration.

3. Accounts and Admin Responsibilities

You must provide accurate account information and keep it current. Workspace administrators are responsible for configuring users, roles, integrations, data sources, approval rules, autonomy settings, SMS and voice programs, and permitted use of the Service. You are responsible for all activity under your account or workspace unless caused by Quickly's breach of these Terms.

4. Customer Data

You retain ownership of content, prompts, messages, files, integration data, workflow data, knowledge documents, transcripts, and other data submitted to or processed by the Service ("Customer Data"). You grant Quickly a limited license to host, process, transmit, display, and use Customer Data only as needed to provide, secure, support, and improve the Service and as described in our Privacy Policy. We do not use Customer Data to train foundation models.

5. AI Outputs and Automated Actions

The Service uses large language models and automation systems. You acknowledge that:

  • AI outputs may be inaccurate, incomplete, duplicative, or inappropriate for your intended use.
  • You are responsible for reviewing outputs before relying on them for decisions, communications, filings, or customer-facing use.
  • You are responsible for configuring approval rules and autonomy settings that match your risk tolerance.
  • Actions taken through connected systems are your organization's actions when performed under your configuration, authorization, or approval.
  • The Service is not a substitute for professional legal, medical, financial, tax, safety, emergency, or compliance advice.

6. Third-Party Integrations

The Service connects to third-party applications and services that you authorize, including communications, productivity, CRM, project management, code repository, accounting, document, meeting, data, telephony, and browser-based systems. You are responsible for obtaining rights and permissions to connect those services, for the scopes granted, and for complying with their terms. Quickly is not responsible for third-party systems, outages, permissions, data handling, or changes to those systems.

7. SMS, Voice, and Communications Compliance

If you use SMS, phone, or voice features, you are responsible for obtaining and documenting all required consents, honoring opt-outs, complying with calling, recording, telemarketing, A2P 10DLC, carrier, TCPA, CTIA, CASL, and similar rules, and ensuring your program terms and disclosures are accurate. SMS message frequency varies based on the customer program and configured workflow. Where supported, recipients may reply STOP to opt out and HELP for help. Message and data rates may apply to recipients. Carriers are not liable for delayed or undelivered messages.

8. Regulated and Sensitive Data

Do not submit protected health information, payment card data, financial account data, government identifiers, children's data, or other regulated sensitive data unless your organization has a written agreement with Quickly that expressly permits that use and includes any required addendum, such as a Business Associate Agreement for HIPAA-regulated data. Quickly may suspend or restrict features that are not approved for regulated workloads.

9. Acceptable Use

You may not use the Service to:

  • Violate laws, regulations, contracts, third-party rights, or platform policies
  • Send spam, phishing, deceptive, abusive, harassing, illegal, or unauthorized communications
  • Access, scrape, export, or disclose data without authorization
  • Introduce malware, exploit vulnerabilities, bypass safety controls, or interfere with the Service
  • Reverse engineer the Service, extract source code, model weights, prompts, or security mechanisms
  • Use outputs to train competing foundation models or support model extraction, benchmarking abuse, or evasion of provider policies
  • Use the Service for emergency response, life safety, high-risk automated decisions, or regulated advice without a separate written agreement

10. Fees, Billing, and Usage Limits

Paid plans, usage-based credits, add-ons, invoices, taxes, renewals, cancellations, and refunds are governed by the applicable order, checkout, invoice, or subscription terms. Unless stated otherwise, fees are non-refundable and subscriptions renew until canceled. We may apply usage limits, rate limits, credit limits, or fair-use limits to protect the Service, manage costs, and prevent abuse.

11. Security

We maintain administrative, technical, and organizational safeguards designed to protect the Service. You are responsible for maintaining secure accounts, reviewing integration permissions, promptly revoking access for users who leave your organization, and notifying us of suspected unauthorized access. 12. Intellectual Property

Quickly and its licensors own the Service, including software, design, documentation, workflows, templates, prompts, trademarks, and other intellectual property. Except for the access rights expressly granted in these Terms, no rights are transferred to you. You may provide feedback, and we may use feedback without restriction or obligation.

13. Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, create security or legal risk, fail to pay fees, exceed usage limits, misuse the Service, or if continued operation could harm Quickly, customers, third parties, or the Service. After termination, we will handle Customer Data as described in the Privacy Policy and any applicable agreement.

14. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Quickly disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted operation, and error-free performance.

15. Limitation of Liability

To the maximum extent permitted by law, Quickly will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities. Quickly's total liability arising out of or relating to the Service or these Terms will not exceed the amounts paid by you to Quickly for the Service during the twelve months before the event giving rise to liability, or USD $100 if no amounts were paid.

16. Indemnity

You will defend and indemnify Quickly from claims, damages, liabilities, losses, and expenses arising from your Customer Data, your use of third-party integrations, your communications programs, your violation of law or third-party rights, or your breach of these Terms.

17. Changes

We may update these Terms from time to time. Material changes will be posted on this page with a new "Last updated" date and, where appropriate, communicated by email or in-product notice. Continued use of the Service after changes become effective means you accept the updated Terms.

18. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law rules. The courts located in Delaware will have exclusive jurisdiction over disputes arising from these Terms or the Service, unless a separate signed agreement states otherwise.
